Terms of Service

These Terms of Service ("Terms") govern your use of the MarketingSoda waitlist service ("Service") operated by MarketingSoda, LLC ("we," "us," or "our") at waitlist.marketingsoda.com. By submitting your email address to join the waitlist, you agree to these Terms.

1. Acceptance of Terms

By submitting your email address to join the MarketingSoda waitlist, you confirm that:

  • You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater
  • You have read and agree to these Terms of Service
  • You have read and understood our Privacy Policy
  • You are joining voluntarily with the intent to learn more about the MarketingSoda product

If you do not agree to these Terms, you may not join the waitlist.

2. Waitlist Service Description

The MarketingSoda waitlist is a pre-launch interest registration service. By joining, you:

  • Express interest in gaining early or priority access to the MarketingSoda product when it becomes available
  • Agree to receive occasional email communications related to MarketingSoda's development, launch timeline, and product updates
  • Acknowledge that joining the waitlist does not guarantee access to the product, any specific launch date, any particular pricing, or any specific feature set

Waitlist registration does not create a contract for services, nor does it confer any contractual right to the product or any specific commercial terms. We reserve the right to change, delay, or discontinue the product at any time without obligation to waitlist registrants.

3. Prohibited Use

You may not use this Service to:

  • Submit false, misleading, or fraudulent registration information
  • Harvest or collect contact information about other users
  • Interfere with or disrupt the Service or its associated infrastructure
  • Use automated means (bots, scripts, crawlers) to submit multiple registrations
  • Attempt to gain unauthorized access to any part of the Service
  • Violate any applicable local, state, national, or international law or regulation

We reserve the right to remove any registration that we believe, in our sole discretion, violates these Terms or is otherwise inappropriate.

4. Intellectual Property

All content on waitlist.marketingsoda.com — including but not limited to text, graphics, logos, visual design, and code — is the property of MarketingSoda, LLC and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, publicly display, or create derivative works from any content on this site without our express prior written permission.

The MarketingSoda name, logo, and associated trade dress are trademarks of MarketingSoda, LLC Unauthorized use of these marks is prohibited.

5. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARKETINGSODA, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no representations or warranties regarding:

  • The accuracy, completeness, or reliability of any content on the site
  • The timeline or availability of the MarketingSoda product
  • Any specific features, capabilities, or pricing that may or may not be included in the final product

Product descriptions, timelines, and features described on this site are aspirational and subject to change without notice.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARKETINGSODA, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, EVEN IF MARKETINGSODA, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM (WHICH, FOR A FREE WAITLIST SERVICE, IS ZERO DOLLARS) OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

7. Indemnification

You agree to indemnify, defend, and hold harmless MarketingSoda, LLC and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; or (c) your violation of any third-party right, including any intellectual property or privacy right.

8. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to personal jurisdiction in those courts.

9. Termination

Termination by MarketingSoda

We may remove your waitlist registration at any time, at our sole discretion, including for violation of these Terms, submission of fraudulent information, or for any other reason. We will make reasonable efforts to notify you at the email address you provided.

Termination by You

You may remove yourself from the waitlist at any time by emailing legal@marketingsoda.ai with a removal request. We will process your request within 30 calendar days.

Termination of your waitlist registration does not affect any accrued rights or obligations of either party.

10. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

11. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and MarketingSoda, LLC with respect to the MarketingSoda waitlist service and supersede all prior or contemporaneous agreements, representations, or understandings relating to the Service.

12. No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of MarketingSoda, LLC

13. Force Majeure

MarketingSoda, LLC shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government action, internet or telecommunications failure, or cyberattack.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify waitlist members by email at least 14 days before the changes take effect where practicable. The "Last Updated" date at the top of this page indicates when these Terms were last revised.

Your continued presence on the waitlist after the effective date of the updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you may remove yourself from the waitlist as described in Section 9.
